Terms of Service

Jurisdiction: British Columbia, Canada

1. Account Terms and Eligibility

Registration requires accurate and current information. You are responsible for maintaining the security of your account credentials. Unauthorized interference with the service's operational logic, automated scraping, or attempts to circumvent security protocols are strictly prohibited.

2. Fees, Billing, and Support

Services are billed monthly in advance via Stripe. A grace period of 2 business days is provided for failed payments. If payment is not received within 7 calendar days of the due date, the account will be automatically suspended. All payments are final; no refunds or credits will be issued for partial months of service or unused accounts.

Technical support is provided only to paying account holders as described in applicable product materials or onboarding communications.

3. Acceptable Use and Conduct

You shall not modify, adapt, reverse engineer where prohibited by law, unlawfully circumvent, or "hack" Prima, nor modify another site or property so as to falsely imply affiliation with Prima, Prima Software Co., or our services without express written authorization.

You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of Prima, use of Prima, or access to Prima except as expressly permitted in these Terms or by our prior written permission.

Prima uses third‑party vendors and hosting partners for hardware, software, networking, storage, and related technology required to operate the service; you acknowledge that Prima may disclose or make available your information to such parties as reasonably required to operate the service, consistent with our Privacy Policy and Subprocessor List.

We may, but have no obligation to, remove content and suspend or terminate accounts containing content we determine in our sole discretion is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable, or that violates intellectual property rights or these Terms.

Verbal, physical, written, or other abuse (including threats of abuse or retribution) toward any Prima customer, user, contractor, employee, officer, director, or agent of Prima may result in immediate termination of your account.

4. Professional Responsibility and Verification

Prima is a tool to assist in production management; it is not a substitute for professional administrative judgment. Users are solely responsible for verifying the accuracy of all schedules, rehearsal times, costume fittings, and performance dates. All financial calculations, including overtime and extra role pay, must be manually verified by administrators. Prima is not liable for union grievances, labor disputes, or fines resulting from scheduling or payout errors.

5. Disclaimer of Warranties

Your use of Prima is at your sole risk. The service is provided on an "as is" and "as available" basis, without warranties of any kind whether express or implied, including—without limiting the foregoing—any implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement, each to the maximum extent permitted by applicable law. Prima does not warrant that the service will be defect‑free, uninterrupted, secure, error‑free, or will meet your operational requirements.

6. Limitation of Liability

The exclusions and limitations in this Section apply to the fullest extent permitted by applicable law—including in British Columbia and Canada—and do not disclaim liability that applicable law cannot be contracted away.

Without limiting the foregoing, to the extent permitted by law Prima's aggregate liability arising out of any cause whatsoever and regardless of the form of action (whether contract, tort, strict liability, or otherwise) shall not exceed the total subscription fees you paid Prima for use of the service during the calendar month preceding the earliest event giving rise to the liability (whether that liability arises through a single claim or a connected series of claims alleging the same or related wrongful acts).

In no event shall Prima be liable for lost profits or any direct, indirect, incidental, consequential, special, exemplary, or punitive damages of any nature—including damages for lost profits, goodwill, use, data, or other intangible losses—even if Prima has been advised of the possibility of those damages—including those arising from:

  1. your use or inability to use Prima;
  2. the cost of procurement of substitute goods or services arising from purchases, agreements, or information obtained via Prima or from third‑party dealings through Prima;
  3. unauthorized access to or alteration of your transmissions or content;
  4. statements or conduct of any third party on or relating to Prima; or
  5. any other matter relating to Prima (including outages, inaccuracies, integrations, notifications, payroll or scheduling computations, AI‑assisted outputs, or third‑party outages).

If any part of this Section is held invalid or unenforceable, that part shall be deemed modified only to the minimum extent required, and you and Prima intend the remainder to apply without invalidating the lawful portions of these Terms or frustrating their essential purpose.

7. Termination

You may cancel your subscription at any time. We reserve the right to suspend or terminate accounts for material breach of these Terms (including Sections 2 and 3), urgent security necessity, or legal mandate. We will provide notice where commercially reasonable, except where prohibited by law, where notice would compromise lawful process, security remediation, or an investigation, where delay would risk harm to others, or where abusive conduct under Section 3 reasonably requires prompt termination.

8. Governing Law

This Agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada. Disputes are subject to the exclusive jurisdiction of the courts in Vancouver, BC.
